Vitilo Dulola Consulting provides professional legal consulting and business coaching services including but not limited to:

• Corporate legal advisory and compliance services
• Business strategy development and implementation
• Executive leadership coaching and development
• Risk assessment and management consulting
• Mergers and acquisitions advisory services
• International business expansion guidance

3. Account Registration

To access certain features of our services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4. Fees and Payment

Service Fees

Fees for our services are as described in the applicable service agreement or proposal. We reserve the right to change our fees at any time upon notice to you.

Payment Terms

Unless otherwise agreed in writing:

• Payment is due within 30 days of invoice date
• Late payments may be subject to interest charges of 1.5% per month
• You are responsible for all taxes associated with the services
• All fees are non-refundable unless otherwise stated in the service agreement

5. Intellectual Property Rights

Our Content

All content provided through our services, including but not limited to text, graphics, logos, and software, is the property of Vitilo Dulola Consulting or our licensors and is protected by copyright and other intellectual property laws.

Client Materials

You retain all rights to any materials, information, or content you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing services to you.

License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes subject to these Terms.

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to perform our services
• Cooperate with us and provide timely decisions and approvals
• Designate a primary contact person for communications
• Use our services in compliance with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party. This obligation continues for three years after termination of these Terms.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that:

• Our services will meet your specific requirements
• Our services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of our services will be accurate or reliable
• The quality of any products, services, information, or other material will meet your expectations

9. Limitation of Liability

To the maximum extent permitted by law, Vitilo Dulola Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services
• Any conduct or content of any third party on the services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services

10. Indemnification

You agree to defend, indemnify, and hold harmless Vitilo Dulola Consulting and its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our services, or your violation of these Terms.

11. Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access to our services at any time for any reason, including if you breach these Terms. All provisions of these Terms which by their nature should survive termination shall survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Dispute Resolution

Any dispute arising from these Terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, either party may pursue any available legal remedies.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes through our website or by other means. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
